Dear Valued Shareholders,

The year under review (financial year ended 31 March 2026, “FY2026”) marked a year of transition and recalibration for IRIS Group Berhad (“IRIS”). During the year, the Group initiated an internal reorganisation exercise on 18 April 2025, involving the Proposed Share Exchange between the shareholders of IRIS Corporation Berhad (“ICB”) and IRIS, and the Proposed Transfer of Listing Status from ICB to IRIS (collectively referred to as the “Internal Reorganisation”). The Internal Reorganisation was completed on 7 January 2026, resulting in IRIS assuming the listing status of ICB, with ICB becoming a wholly-owned subsidiary of IRIS. This strategic move establishes a more effective corporate structure to support the Group’s future growth.
